Digilo Welcome Referral Programme Terms and Conditions

These Terms and Conditions govern the Digilo Welcome Referral Programme, a permanent referral programme available to eligible users of the Digilo platform.

1. Organizer

The Digilo Welcome Referral Programme is organized by Digilo, operated by CSP Growth Solutions SIA, registration No. 40203585248, registered address Bukultu iela 11, Riga, Latvia, an authorized European crowdfunding service provider operating in accordance with Regulation (EU) 2020/1503 and applicable laws of the Republic of Latvia.

Hereinafter referred to as the Platform, Digilo, or the Organizer.

2. Programme Overview

The Digilo Welcome Referral Programme is a permanent referral programme available to eligible Digilo users.

Under the Programme, an eligible new investor who registers through a valid referral link may receive 1% cashback on eligible Primary Market investments made during the first 60 calendar days after successful registration.

The user who invited the new investor may also receive 1% cashback on the same eligible investments made by the referred investor during the applicable 60-day period.

The Programme is intended as a standard welcome benefit for new investors and a referral reward for existing Digilo users.

Any additional promotional campaigns, bonuses, special offers, or limited-time rewards introduced by Digilo shall be treated as separate promotions and shall not replace, amend, or modify these Terms unless expressly stated.

Participation in the Programme constitutes acceptance of these Terms, the Platform Terms and Conditions, the Privacy Policy, and any other applicable platform documents.

3. Eligibility

3.1. Eligible Referrer

To participate as a referrer, a user must:

1. have an active Digilo account;
2. have successfully completed all required registration, identity verification, and onboarding procedures;
3. be eligible to use the Platform in accordance with the Platform Terms and Conditions;
4. use their personal referral link generated within the Digilo platform.

The Organizer reserves the right to restrict or refuse participation where required for legal, regulatory, compliance, operational, fraud prevention, or security reasons.

3.2. Eligible Referred Investor

To qualify as a referred investor, the person must:

1. register through a valid Digilo referral link;
2. be a first-time Digilo user;
3. successfully complete the full registration process on the Platform;
4. successfully complete identity verification and all required onboarding procedures;
5. be eligible to invest on the Platform in accordance with the Platform Terms and Conditions;
6. make eligible investments within the first 60 calendar days after successful registration.

For the purposes of these Terms, registration shall be considered completed only once the Platform confirms successful account activation, completion of identity verification procedures, and successful completion of all required onboarding steps.

Payment account verification and related payment services may be provided by the Platform’s payment service partner Lemonway. The Organizer shall not be responsible for delays, interruptions, verification failures, compliance reviews, or technical processing issues attributable to Lemonway or circumstances outside the Organizer’s reasonable control.

4. Cashback Reward

4.1. Cashback Amount

Both the referrer and the referred investor may receive cashback equal to 1% of the invested principal amount of each eligible investment made by the referred investor during the applicable 60-day period.

The cashback is calculated on the referred investor’s eligible investments only.

4.2. Eligible Investments

Cashback applies only to investments that meet all of the following conditions:

1. the investment is made by the referred investor;
2. the investment is made in the Digilo Primary Market;
3. the investment is made within the first 60 calendar days after the referred investor’s successful registration;
4. the investment is successfully completed and accepted by the Platform;
5. the investment relates to a crowdfunding project that is successfully funded and becomes active.

Investments made after the 60-day eligibility period shall not qualify for cashback.

Investments that are cancelled, reversed, refunded, rejected, withdrawn, or otherwise invalid shall not qualify for cashback.

Where a crowdfunding project is cancelled, withdrawn, or not successfully funded for reasons not attributable to the participant, Digilo may, acting reasonably and in good faith, exclude such investment from cashback calculation or allow additional time for the referred investor to make another eligible investment.

4.3. No Maximum Cashback Limit

Unless otherwise stated by the Organizer, there is no maximum cashback limit under the Digilo Welcome Referral Programme.

The Organizer reserves the right to introduce reasonable cashback limits, restrictions, or additional conditions in the future by amending these Terms in accordance with Section 11.

5. Cashback Payment

Cashback shall be credited to the participant’s Digilo account after:

1. the referred investor has made an eligible investment;
2. the investment has been successfully completed and accepted by the Platform;
3. the relevant crowdfunding project has been successfully funded and becomes active;
4. all eligibility requirements have been verified by the Platform.

Cashback processing may take up to 30 calendar days following successful verification of eligibility.

The Organizer may request additional documents, information, or verification before approving any cashback payment.

Cashback rewards constitute promotional incentives only and do not represent:

1. interest;
2. investment returns;
3. guaranteed profits;
4. deposits;
5. savings products;
6. financial advice;
7. or any guarantee of investment performance.

6. Referral Links and Permitted Use

Each eligible Digilo user may receive a personal referral link generated within the Platform.

Referral links may be shared with friends, family, colleagues, or through personal online channels, provided that the sharing is lawful, fair, transparent, and not misleading.

Participants may not:

1. impersonate Digilo;
2. present themselves as employees, agents, representatives, or official partners of Digilo unless expressly authorized;
3. publish misleading, deceptive, exaggerated, or non-compliant advertising;
4. make statements suggesting that investments are risk-free or guaranteed;
5. send unsolicited spam or mass unsolicited communications;
6. use paid advertising, search engine advertising, or domain names that imitate or misuse the Digilo brand without prior written approval;
7. engage in fraudulent, abusive, manipulative, or bad-faith referral activity.

The Organizer may require a participant to remove or amend any referral-related content that, in the Organizer’s reasonable opinion, is misleading, non-compliant, harmful to the Digilo brand, or inconsistent with applicable laws or Platform policies.

7. Restrictions and Abuse Prevention

Participants may not:

1. create or operate multiple accounts;
2. use false, misleading, or inaccurate information;
3. engage in self-referrals directly or indirectly;
4. use related identities, payment accounts, devices, IP addresses, technical methods, or coordinated activity to manipulate the Programme;
5. refer users who are not genuine new investors;
6. engage in fraudulent, abusive, deceptive, manipulative, or bad-faith conduct.

The Organizer reserves the right to:

1. withhold, refuse, cancel, reverse, or reclaim cashback;
2. suspend or terminate accounts;
3. disqualify participants from the Programme;
4. conduct additional verification or compliance checks;
5. restrict future participation in referral programmes or promotions,

where fraud, abuse, sanctions risks, AML concerns, market manipulation, breach of these Terms, breach of Platform Terms, or violation of applicable laws or internal policies is suspected.

8. Compliance and Risk Disclosure

Participation in the Programme is subject to:

1. Regulation (EU) 2020/1503;
2. applicable anti-money laundering and sanctions laws;
3. the Platform Terms and Conditions;
4. the Platform Privacy Policy;
5. all internal compliance procedures and policies of the Organizer.

Investments made through crowdfunding platforms involve risks, including the possible partial or total loss of invested capital.

Participation in the Programme does not constitute:

1. investment advice;
2. investment recommendation;
3. suitability assessment;
4. tax advice;
5. financial promotion suitability confirmation;
6. or any guarantee of investment performance or returns.

Each investor is responsible for reviewing all project information, risk disclosures, and investment documents before making an investment decision.

9. Taxes

Participants are solely responsible for determining, reporting, and paying any taxes or other governmental charges arising from participation in the Programme or receipt of cashback under applicable laws.

The Organizer does not provide tax advice.

10. Personal Data Processing

Personal data may be processed for:

1. Programme administration;
2. referral tracking;
3. cashback calculation and payment;
4. compliance and regulatory obligations;
5. AML/KYC verification;
6. fraud prevention and security purposes;
7. internal audit and monitoring purposes.

Personal data shall be processed in accordance with applicable data protection laws and the Platform Privacy Policy.

11. Modification, Suspension, or Termination

The Organizer reserves the right to amend, suspend, restrict, or terminate the Programme or these Terms at any time where reasonably necessary for:

1. legal or regulatory compliance;
2. fraud prevention;
3. operational or technical reasons;
4. security concerns;
5. abuse prevention;
6. risk management purposes;
7. changes to the Platform’s business, marketing, or product strategy.

Any amendments become effective upon publication on the Platform website unless stated otherwise.

Unless required by law or related to fraud, abuse, or breach of these Terms, amendments shall not affect cashback that has already been earned before the effective date of the amendments.

12. Relationship with Other Promotions

The Digilo Welcome Referral Programme is a permanent programme and operates separately from any additional promotional campaigns, limited-time bonuses, welcome campaigns, seasonal offers, or marketing incentives introduced by Digilo.

Any such additional promotions shall be governed by their own specific terms and conditions.

Unless expressly stated otherwise, participation in another Digilo promotion does not automatically modify the rights or obligations under these Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia.

Any dispute arising in connection with the Programme shall be subject to the exclusive jurisdiction of the courts of the Republic of Latvia.

14. Language

These Terms may be translated into other languages for convenience purposes only.

In the event of any discrepancy, inconsistency, ambiguity, or conflict between different language versions of these Terms, the English language version shall prevail and govern.
