Registration Period:

11 May 2026 – 9 June 2026 (inclusive)

1. Organizer

This referral campaign (hereinafter – the Campaign) is organized by Digilo – CSP Growth Solutions SIA, registration No. 40203585248, registered address Bukultu iela 11, Riga, Latvia –, an authorized European crowdfunding service provider operating in accordance with Regulation (EU) 2020/1503 and applicable laws of the Republic of Latvia (hereinafter – the Platform or the Organizer).

2. Campaign Period

2.1. Registration Period

Users may participate in the Campaign by successfully completing full registration on the Platform from 11 May 2026 at 00:00 (EET) until 9 June 2026 at 23:59 (EET).

For the purposes of the Campaign, full registration is considered completed once the Platform confirms:

– successful account activation;

– completion of identity verification procedures;

– successful verification of the participant’s VIBAN.

Payment account verification and related payment services are provided by the Platform’s payment service partner Lemonway. The Organizer shall not be responsible for delays, interruptions, verification failures, compliance reviews, or technical processing issues attributable to Lemonway or circumstances outside the Organizer’s reasonable control. The qualification period shall commence only after all required onboarding and verification procedures have been successfully completed and confirmed within the Platform systems.

The Organizer reserves the right, acting reasonably and in good faith, to manually review and approve eligibility for Campaign rewards in exceptional cases, including delays attributable to third-party service providers or technical processing issues outside the participant’s control.

2.2. Investment Qualification Period

Eligible participants shall have 30 (thirty) calendar days from the date of successful full registration completion to satisfy the investment requirements set out in Section 4.2.

The investment qualification period begins on the date the Platform confirms successful completion of full registration.

3. Eligible Participants

The Campaign is available exclusively to:

– new Platform investors;

– individuals at least 18 years old;

– users who satisfy the eligibility requirements set out in the Platform Terms and Conditions and successfully complete the Platform registration process.

The Campaign is not available to:

– existing registered users of the Platform;

– employees, officers, agents, contractors, or direct affiliates of the Organizer;

– users restricted under applicable laws, sanctions, or compliance requirements.

The Organizer reserves the right to refuse participation or disqualify any participant at its sole discretion where required for legal, regulatory, compliance, operational, fraud prevention, or security reasons.

4. New Investor Reward

4.1 Reward Amount

Eligible new investors may receive a one-time promotional reward of EUR 15.

4.2 Qualification Requirements

To qualify for the reward, the participant must, within the applicable 30-day investment qualification period:

– invest at least EUR 300 into each of 3 different crowdfunding projects available on the Platform;

– ensure all investments are fully executed and accepted by the Platform.

As a general rule, only investments in successfully funded projects shall qualify for the Campaign.

Investments that are cancelled, reversed, refunded, withdrawn, or rejected due to the participant’s actions shall not qualify for the Campaign. Where a crowdfunding project is cancelled, withdrawn, or not successfully funded for reasons not attributable to the participant, the Organizer may, acting reasonably and in good faith, recognize such investment for the purposes of Campaign eligibility or allow the participant additional time to satisfy the investment requirements.

5. Referral Reward

5.1 Referral Bonus

Eligible participants may receive an additional promotional reward of EUR 10 for each successfully referred new investor.

5.2 Referral Conditions

A referral reward shall be granted only if:

– the referred user registers through the participant’s unique referral link;

– the referred user qualifies as a new Platform investor;

– the referred user successfully completes full registration during the Registration Period in accordance with Section 2.1;

– the referred user fully satisfies the investment qualification requirements set out in Section 4.2 within the applicable Investment Qualification Period.

Referral rewards are credited only after the Platform verifies full compliance with all applicable Campaign requirements.

5.3 Referral Reward Limitation

The maximum total referral rewards available to a participant under this Campaign shall not exceed EUR 500 unless otherwise approved by the Organizer.

6. Reward Payment

Rewards shall be credited to the participant’s Platform account.

Reward processing may take up to 30 calendar days following successful verification of eligibility.

The Organizer may request additional documents, information, or verification before approving any reward payment.

Campaign rewards constitute promotional incentives only and do not represent:

– interest;

– investment returns;

– guaranteed profits;

– deposits;

– savings products;

– or financial advice.

7. Restrictions and Abuse Prevention

Participants may not:

– create or operate multiple accounts;

– use false, misleading, or inaccurate information;

– engage in self-referrals directly or indirectly;

– use related identities, payment accounts, devices, or technical methods to manipulate the Campaign;

– engage in fraudulent, abusive, deceptive, manipulative, or bad-faith conduct.

The Organizer reserves the right to:

– withhold, refuse, cancel, reverse, or reclaim rewards;

– suspend or terminate accounts;

– disqualify participants from the Campaign;

– conduct additional verification or compliance checks,

– where fraud, abuse, sanctions risks, AML concerns, market manipulation, or violations of applicable laws, internal policies, or Platform Terms are suspected.

8. Compliance and Risk Disclosure

Participation in the Campaign is subject to:

– Regulation (EU) 2020/1503;

– applicable anti-money laundering and sanctions laws;

– the Platform Terms and Conditions;

– the Platform Privacy Policy;

– all internal compliance procedures and policies of the Organizer.

Investments made through crowdfunding platforms involve risks, including the possible partial or total loss of invested capital.

Participation in the Campaign does not constitute:

– investment advice;

– investment recommendation;

– suitability assessment;

– tax advice;

– financial promotion suitability confirmation;

– or any guarantee of investment performance or returns.

9. Taxes

Participants are solely responsible for determining, reporting, and paying any taxes or other governmental charges arising from participation in the Campaign or receipt of rewards under applicable laws.

10. Personal Data Processing

Personal data may be processed for:

– Campaign administration;

– compliance and regulatory obligations;

– AML/KYC verification;

– fraud prevention and security purposes;

– internal audit and monitoring purposes.

Personal data shall be processed in accordance with applicable data protection laws and the Platform Privacy Policy.

11. Modification, Suspension, or Termination

The Organizer reserves the right to amend, suspend, restrict, or terminate the Campaign or these Terms at any time where reasonably necessary for:

– legal or regulatory compliance;

– fraud prevention;

– operational or technical reasons;

– security concerns;

– abuse prevention;

– or risk management purposes.

Any amendments become effective upon publication on the Platform website unless stated otherwise.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia. Any dispute arising in connection with the Campaign shall be subject to the exclusive jurisdiction of the courts of the Republic of Latvia.

13. Language

These Terms may be translated into other languages for convenience purposes only. In the event of any discrepancy, inconsistency, ambiguity, or conflict between different language versions of these Terms, the English language version shall prevail and govern.
